These Terms and Conditions (“Terms”) govern all access to and use of Services provided by 1559471 B.C. Ltd., doing business as (“dba”) Amy Liu Wellness (“Company,” “We,” “Us,” “Our”) through amyliuwellness.com (“Website”).
By accessing or using Our Website, Services, or Goods, You (“Client,” “Patient,” “You,” “Your”) agree to be bound by these Terms. If You disagree with any part of these Terms, do not use the Services.

The Company is a British Columbia–registered business operating in Canada, offering educational, wellness, functional medicine, and coaching services, both virtually and in person. Canadian based clients should review the Terms and Conditions applicable to the Canadian marketplace at www.amyliuwellness.org before purchasing or participating in Services.


1. Interpretation and Definitions

Interpretation

Words with initial capitalization carry the meanings assigned below. Definitions apply to both singular and plural forms.

Definitions

Company – 1559471 B.C. Ltd., registered in British Columbia, Canada, operating as “Amy Liu Wellness,” including its directors, employees, contractors, practitioners, and the Website amyliuwellness.com.

Affiliate – Any entity controlling, controlled by, or under common control with the Company.

Client / Patient / You – Any individual accessing the Website or purchasing Goods or Services, or the legal entity they represent.

Services – Functional medicine consultations, health coaching, telehealth services, educational programs, digital courses, memberships, protocols, kits, and any other wellness offerings.

Coaching Services – Educational and lifestyle support services that do not diagnose, treat, or prescribe.

Medical Services – Services provided by a licensed professional only when a separate written medical agreement is expressly established.

Goods – Physical products such as supplements, books, kits, and wellness tools.

Digital Products – Non-physical content such as courses, videos, downloads, and eBooks.

Subscriptions – Recurring paid memberships or programs that auto-renew unless canceled.

Order – A request to purchase Goods or Services.

Payment Methods – Credit/debit card, PayPal, or other methods available on the Website.

Feedback – Ideas, suggestions, or improvements submitted by You.

Telehealth Services – Virtual sessions conducted by video, phone, or electronic communications.

Third-Party Labs – Independent diagnostic labs not owned or controlled by the Company.

Money-Back Guarantee – A conditional guarantee offered by the Company, only applicable when all eligibility requirements are met.


2. Acknowledgement of Terms

By accessing the Website or using the Services, You confirm that:

You are at least 18 years of age.

You understand the Company is incorporated in British Columbia, Canada.

You have read and agree to these Terms and Our Privacy Policy.

All payments are non-refundable except when explicitly stated under the Money-Back Guarantee.

You assume full responsibility for your health decisions and outcomes.

You consent to electronic communications from Us.

3. Medical Disclaimer

Educational Use Only:
Unless otherwise stated in a separate medical agreement, all Services are informational and not a substitute for professional medical advice or treatment.

No Automatic Doctor–Patient Relationship:
Purchasing or participating in Services does not establish a doctor–patient relationship.
A medical relationship only exists if explicitly established separately in writing with a licensed provider.

No Diagnosis or Treatment Through Coaching:
Coaches and practitioners do not diagnose conditions, prescribe medications, or make medical decisions on Your behalf.

Consult Your Provider:
You agree to consult your licensed healthcare provider before making changes to medications, supplements, diet, or lifestyle.

No Emergency Care:
The Company does not provide urgent or emergency medical support.
Call 911 or emergency services if experiencing a medical crisis.

Supplement Disclaimer:
Statements about supplements or lifestyle interventions have not been evaluated by Health Canada or the FDA and are not intended to diagnose or treat disease.


4. Client Responsibilities

By using the Services, You agree to:

Provide complete and accurate health information.

Disclose medications, supplements, allergies, and medical conditions.

Consult your physician regarding any medical concerns.

Follow program and safety instructions.

Not use Services while driving or operating hazardous equipment.

Ensure you are located in a jurisdiction where the practitioner is licensed (for Telehealth Services).

Acknowledge that results vary and are not guaranteed.

Failure to provide accurate information may result in termination of Services without refund.


5. Orders, Payments, and Subscriptions

All payments are due in full at the time of purchase.

All payments are final and non-refundable, except under the specific conditions outlined in the Money-Back Guarantee section.

Subscriptions automatically renew until canceled.

By purchasing a Subscription, You authorize recurring charges to your Payment Method.

Failed or declined payments may result in suspension or termination of program access.

Chargebacks are strictly prohibited unless required by law.
You must contact the Company first with any billing concerns.


6. Money-Back Guarantee (Conditional)

The Company may offer a money-back guarantee for specific programs or packages.
If offered, eligibility for a refund under this Guarantee is subject to ALL of the following requirements being met:

6.1 Eligibility Requirements

To qualify for a refund under the Money-Back Guarantee, the Client must:

Follow the recommended treatment plan in its entirety, including all protocols, timelines, and commitments.

Attend and fully participate in ALL required sessions, including:

One-on-one sessions,

Group sessions,

Community calls,

Workshops or support meetings included in the program.

Take ALL recommended supplements consistently and as directed, unless medically contraindicated and documenbted a licensed medical provider.

Adhere completely to the dietary recommendations provided by the program.

Complete all recommended lifestyle changes, homework, modules, and educational content.

Attest in writing that they fully complied with all program requirements, protocols, and instructions.

Demonstrate program completion, including submitting any required documentation or progress tracking.

6.2 Exclusions From Refund Eligibility

The following costs and items are NOT eligible for refund under any circumstances:

Costs of laboratory testing (including blood, stool, urine, saliva, or specialty functional tests).

Shipping, handling, or processing fees.

Supplements or ingestible products.

Any third-party provider fees.

Appointment no-show fees or late cancelation fees.

Technology platform fees (if applicable).

6.3 Disqualification

You are not eligible for a refund if:

You missed any mandatory session.

You partially followed the treatment plan.

You failed to take supplements as recommended.

You did not adhere to dietary or lifestyle guidelines.

You did not complete assigned tasks or modules.

You failed to submit required documentation.

You ended the program early.

6.4 Final Determination

The Company reserves the exclusive right to determine whether eligibility requirements were met.
All Guarantee determinations are final.


7. Refunds, Cancellations, and Rescheduling

Except as specified in the Money-Back Guarantee, all sales are final.

Canceling a Subscription stops future billing but does not refund past payments.

Missed appointments or late cancellations may be forfeited.

Due to safety regulations, supplements and ingestible Goods cannot be returned.


8. Intellectual Property

All content, materials, programs, and digital assets are owned by the Company.
You may not copy, share, publish, distribute, or create derivative works from any content without written permission.


9. Feedback

Feedback submitted to the Company becomes its sole property without obligation to compensate You.


10. Limitation of Liability

To the fullest extent allowed under British Columbia and Canadian law:

The Company shall not be liable for indirect, incidental, punitive, or consequential damages.

This includes adverse reactions to supplements, lifestyle changes, or reliance on information provided.

Maximum liability is limited to the greater of:

the amount paid during the prior six (6) months, or $100 CAD.

You assume all risks associated with using the Services.


11. “AS IS” and “AS AVAILABLE” Disclaimer

Services are provided without warranties of any kind.
We do not guarantee success, results, or uninterrupted availability.


12. Governing Law

These Terms are governed by the laws of British Columbia, Canada, and applicable federal laws of Canada.


13. Dispute Resolution

You agree to attempt informal resolution first.

If unresolved, disputes shall be resolved through binding arbitration in British Columbia, Canada, unless prohibited by law.

Class actions and collective actions are waived to the extent permitted by law.

Claims permitted in small claims court may be brought there.


14. Severability

Invalid or unenforceable provisions will be modified to achieve the original intent where possible. The remainder stays in effect.


15. Survival

Sections on Medical Disclaimer, Intellectual Property, Liability, Dispute Resolution, Refunds, and Payment Obligations survive program completion or termination.


16. Entire Agreement

These Terms, together with the Privacy Policy and any written agreements, constitute the entire agreement between You and the Company.


17. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via Website or email at least 30 days prior to taking effect.
